If you do not agree to the terms of this Agreement, you should not use the Site, purchase or book services, or participate in offerings provided by Raschel Biagioli.

Certain services, events, retreats, programs, or other offerings may also be subject to additional written terms, policies, waivers, informed-consent documents, payment agreements, or participation requirements provided at the time of booking or registration. Those additional terms are incorporated into this Agreement by reference. If an offering-specific written agreement conflicts with these general Terms of Service, the offering-specific agreement will control with respect to that offering.

1.6 Suspension or Termination of Access

Raschel Biagioli reserves the right, in its reasonable discretion, to restrict, suspend, or terminate your access to all or any portion of the Site if you violate this Agreement, misuse the Site or Materials, engage in unlawful or harmful conduct, interfere with the Site's operation, infringe intellectual-property rights, or otherwise use the Site in a manner inconsistent with these Terms. Termination of access does not eliminate any payment obligations, intellectual-property restrictions, confidentiality obligations, or other provisions of this Agreement that by their nature are intended to survive termination.

2. ACCOUNTs: LOGIN AND PASSWORD

2.1 Account Registration

Certain features of the Site or services offered by Raschel Biagioli may require you to create an account, client profile, booking profile, or login through the Site or a third-party scheduling, payment, course, event, or client-management platform. When creating or using an account, you agree to provide current, complete, and accurate information as requested and to update that information when necessary. If Raschel Biagioli reasonably believes that information associated with an account is false, inaccurate, outdated, incomplete, fraudulent, or being used in violation of this Agreement, Raschel Biagioli reserves the right to suspend or terminate access to the applicable account, Site feature, booking, or service.

2.2 Age Requirement

By creating an account, independently booking or purchasing a service, or registering for an offering through the Site, you represent that you are at least eighteen (18) years of age. Services for individuals under the age of eighteen may be provided only when expressly approved by Raschel Biagioli and when any required consent from a parent or legal guardian has been obtained.

2.3 Account Security

If you create or receive a username, password, access code, booking link, client-portal login, or other account credentials, you are responsible for maintaining the confidentiality and security of those credentials. You agree not to knowingly share your personal account credentials with another person or permit another person to access an account intended solely for your individual use. You are responsible for taking reasonable precautions to protect your login information and for promptly notifying Raschel Biagioli or the applicable third-party platform if you become aware of suspected unauthorized access to your account.

2.4 Unauthorized Account Use

You agree to notify Raschel Biagioli promptly if you become aware of unauthorized use of your account, booking profile, client portal, or other credentials associated with services provided through the Site. Raschel Biagioli cannot guarantee protection against unauthorized access resulting from your failure to reasonably safeguard your credentials, your voluntary disclosure of login information, or circumstances outside Raschel Biagioli's reasonable control. To the extent permitted by applicable law, you are responsible for activity occurring through your account when such activity results from your failure to reasonably protect your account credentials. Nothing in this section is intended to make you responsible for unauthorized activity resulting directly from the gross negligence, willful misconduct, or unlawful conduct of Edgeless Action, LLC.

2.5 Third-Party Platforms

Certain accounts, bookings, payments, registrations, communications, or client resources may be provided through third-party platforms or service providers. Your use of those platforms may also be governed by the applicable third party's own terms of service, privacy policy, security practices, and account requirements.

Raschel Biagioli is not responsible for the security or operation of a third-party platform except to the extent required by applicable law.

2.6 Personal Nature of Accounts & Bookings

Unless expressly permitted otherwise, accounts, client portals, memberships, appointments, programs, and other individually purchased services are personal to the individual who registered or purchased them and may not be assigned, transferred, shared, resold, or provided to another person without prior approval from Raschel Biagioli. This restriction does not prevent the transfer of an event, class, retreat, or other registration when the specific terms of that offering expressly permit transfers.

3. THIRD-PARTY SITES, SERVICES & LINKS

3.1 Third-Party Websites & Services

The Site may contain links to, integrate with, or direct you to websites, applications, platforms, products, services, or resources owned or operated by third parties (“Third-Party Services”).

Third-Party Services may include, without limitation, scheduling and booking platforms, payment processors, email or communication platforms, social-media platforms, retreat venues, accommodations, transportation providers, travel resources, restaurants, wellness providers, practitioners, instructors, photographers, product retailers, and other businesses or resources.

Links to or references to Third-Party Services are provided for convenience, information, or as part of an offering and do not necessarily constitute an endorsement, sponsorship, partnership, or guarantee by Edgeless Action, LLC d/b/a Raschel Biagioli.

3.2 Independent Third Parties

Unless expressly stated otherwise in writing, third-party businesses, practitioners, venues, vendors, facilitators, contractors, and service providers operate independently from Raschel Biagioli.

Raschel Biagioli does not control and is not responsible for the acts, omissions, representations, products, services, policies, availability, pricing, business practices, security practices, or content of independent Third-Party Services.

The inclusion of a link, recommendation, referral, resource, or third-party provider does not mean that Raschel Biagioli controls or guarantees that third party's products, services, information, qualifications, availability, or performance.

3.3 Transactions With Third Parties

Any transaction, purchase, reservation, agreement, communication, or other interaction entered into directly between you and a Third-Party Service is solely between you and that third party unless expressly stated otherwise in writing.

You are responsible for reviewing the terms, conditions, cancellation policies, refund policies, privacy policies, and other requirements applicable to any Third-Party Service before entering into a transaction.

Raschel Biagioli is not responsible for disputes, losses, damages, charges, cancellations, delays, refunds, service failures, or other issues arising from a transaction or relationship directly between you and an independent third party, except to the extent otherwise required by applicable law.

3.4 Retreats, Events & Collaborative Offerings

Certain retreats, workshops, classes, events, or other experiences may involve third-party venues, accommodations, chefs, transportation providers, photographers, facilitators, practitioners, instructors, guides, or other service providers.

The participation of a third party in an offering does not automatically make that third party an employee, agent, partner, or representative of Edgeless Action, LLC.

When a third party maintains its own terms, waivers, policies, or participation requirements, you may also be required to agree to those terms separately.

3.5 Third-Party Content & Availability

Raschel Biagioli does not guarantee that information appearing on a Third-Party Service is accurate, complete, current, secure, or available.

Third-party websites and services may be modified, discontinued, become unavailable, or contain content that differs from information previously provided through the Site.

Raschel Biagioli is not responsible for monitoring or continually reviewing third-party websites or services.

3.6 Security & Technology

When you leave the Site or use a Third-Party Service, you do so subject to the security practices and policies of that third party.

While Raschel Biagioli makes reasonable efforts to work with reputable providers, we cannot guarantee that a third-party website, application, download, link, platform, or service will be free from viruses, malware, security vulnerabilities, data breaches, harmful code, or other technological risks.

You are responsible for taking reasonable precautions when accessing external websites, downloading materials, or providing personal or payment information to third parties.

3.7 Third-Party Recommendations

From time to time, Raschel Biagioli may share or recommend products, books, tools, practitioners, businesses, accommodations, resources, or other services that we believe may be useful or relevant.

Any such recommendation is provided for informational purposes and does not constitute a guarantee that the product, provider, or service will be appropriate for your individual circumstances or produce a particular result.

You remain responsible for deciding whether to purchase, use, hire, visit, or otherwise engage with any recommended third party.

4. PRIVACY

4.1 Privacy Policy

Your privacy is important to us. Your access to and use of the Site is subject to the Raschel Biagioli Privacy Policy, which describes how Edgeless Action, LLC d/b/a Raschel Biagioli may collect, use, maintain, protect, and disclose information obtained through the Site and in connection with our services.

The Privacy Policy is incorporated into this Agreement by reference. By using the Site, submitting information, booking a service, registering for an event or retreat, subscribing to communications, or otherwise interacting with Raschel Biagioli, you acknowledge that you have had the opportunity to review the Privacy Policy.

4.2 Information You Provide

In connection with your use of the Site or participation in our offerings, you may voluntarily provide information including, but not limited to, your name, email address, telephone number, billing information, mailing address, booking information, intake-form responses, service preferences, communications, event or retreat registration information, and other information reasonably necessary to provide the requested service or experience.

Certain services may involve the voluntary disclosure of personal or sensitive information that you believe is relevant to your participation. You are encouraged to share only information reasonably necessary for the service being provided.

Our collection, use, retention, and disclosure of personal information are further described in our Privacy Policy.

4.3 Payment Information

Payments may be processed through third-party payment processors or booking platforms.

Raschel Biagioli may not directly receive or store complete payment-card information when payment information is submitted directly to a third-party payment processor.

Payment transactions may therefore also be subject to the privacy policies, security practices, and terms of the applicable payment processor or platform.

4.4 Booking, Scheduling & Communication Platforms

Raschel Biagioli may use third-party providers to facilitate scheduling, payments, email communications, newsletters, forms, event registration, client communications, or other business functions.

Information submitted through those platforms may be processed or stored by the applicable provider in accordance with its own privacy practices and terms.

Additional information regarding the categories of service providers we use and how information may be handled is provided in our Privacy Policy.

4.5 Communications

When you provide your contact information in connection with a booking, purchase, registration, inquiry, or other transaction, Raschel Biagioli may use that information to communicate with you regarding that transaction or our existing relationship with you.

Marketing or promotional communications will be handled in accordance with applicable law and the preferences or unsubscribe options provided with those communications.

4.6 Confidentiality of Private Sessions

Raschel Biagioli recognizes that clients may share personal information during private sessions, mentorship, intuitive readings, organizing services, healing experiences, or other one-on-one services.

We will make reasonable efforts to respect the privacy of information shared within those services and will not intentionally disclose private client information to unrelated third parties except when:

(a) you have given permission for the disclosure;

(b) disclosure is reasonably necessary to provide a service you requested;

(c) disclosure is required by applicable law, court order, or other legal process;

(d) disclosure is reasonably necessary to protect the rights, property, or safety of Raschel Biagioli or another person; or

(e) the information has been anonymized or aggregated so that it does not reasonably identify you.

Nothing in this section creates a physician-patient, therapist-client, attorney-client, or other legally privileged professional relationship where such a relationship does not otherwise exist under applicable law.

4.7 Testimonials, Reviews & Client Stories

Raschel Biagioli will not intentionally publish your private-session information as an identifiable testimonial, case study, or client story without your permission.

If you voluntarily submit a public review, social-media comment, testimonial, photograph, or other content in a public forum, that information may already be publicly accessible.

Any separate permission granted for the use of testimonials, photographs, video, or other promotional materials will be governed by the terms of that permission or release.

4.8 No Guarantee of Internet Security

Although reasonable efforts may be made to protect information, no website, email system, electronic communication, payment processor, booking platform, or method of electronic storage can be guaranteed to be completely secure.

You acknowledge that information transmitted electronically may carry inherent privacy and security risks.

For additional information regarding how personal information is collected, used, retained, shared, and protected, please review the Raschel Biagioli Privacy Policy.

5. SUBMISSIONS, FEEDBACK & USER CONTENT

5.1 User Submissions

The Site may allow you to submit, upload, send, post, publish, or otherwise provide content or information to Raschel Biagioli (“Submissions”).

Submissions may include, without limitation, comments, reviews, testimonials, feedback, suggestions, ideas, questions, photographs, videos, social-media content, event feedback, survey responses, or other materials voluntarily provided by you.

You retain ownership of original content that you submit, subject to the permissions expressly granted in this Agreement.

5.2 Public & Promotional Submissions

When you intentionally provide content to Raschel Biagioli for public, promotional, testimonial, marketing, or similar use, you grant Edgeless Action, LLC d/b/a Raschel Biagioli a non-exclusive, royalty-free, worldwide license to use, reproduce, display, publish, distribute, format, and share that Submission for the purpose for which it was provided.

This may include use on the Site, social-media accounts, email communications, promotional materials, event materials, or other business marketing channels.

Where separate written or electronic consent is required for the use of your name, likeness, photograph, video, voice, testimonial, or other identifiable information, Raschel Biagioli will obtain the applicable consent before such use.

5.3 Reviews & Testimonials

If you voluntarily submit a review or testimonial directly to Raschel Biagioli for promotional use, you represent that the statements reflect your genuine experience and opinions.

Raschel Biagioli may make reasonable edits to a testimonial for spelling, grammar, length, or clarity, provided that such edits do not materially change the meaning of your statement.

Raschel Biagioli will not knowingly create or materially alter a testimonial in a way that falsely represents your experience.

Testimonials represent individual experiences and are not guarantees that another client or participant will experience the same or similar results.

5.4 Feedback, Suggestions & Ideas

If you voluntarily provide general feedback, suggestions, concepts, recommendations, or ideas regarding the Site, services, classes, events, programs, retreats, or other offerings, you acknowledge that Raschel Biagioli may consider and use that feedback in developing, modifying, or improving its business and offerings without an obligation to compensate you.

Providing feedback does not transfer ownership of your independently created intellectual property to Raschel Biagioli.

5.5 Private Client Information Is Not a Promotional Submission

For clarity, information you provide in connection with a private session, intake form, consultation, mentorship session, organizing service, intuitive reading, healing session, personal email or message, or other private client communication is not considered a public or promotional Submission merely because you provided it to Raschel Biagioli.

Personal stories, healing experiences, intuitive information, photographs of private spaces, before-and-after photographs, recordings, intake responses, or other private client information will not intentionally be used as identifiable marketing or promotional content without appropriate permission.

This section should be read together with the privacy and confidentiality provisions contained in Section 4 of this Agreement.

5.6 Photographs & Videos

Participation in a class, event, workshop, or retreat does not, by itself, grant Raschel Biagioli unrestricted permission to use your identifiable image, likeness, voice, or personal story for promotional purposes.

When photography, video recording, or other media may be used for promotional purposes, additional notice or consent may be provided as appropriate for the particular offering.

Any separately executed photography, video, testimonial, or media release will govern the use authorized by that release.

5.7 Rights to Content You Submit

You represent and warrant that you own or otherwise have the necessary rights and permissions to provide any content you intentionally submit for public display, promotional use, publication, or distribution.

You agree not to knowingly submit content for such use that:

(a) infringes another person's copyright, trademark, privacy, publicity, contractual, or other legal rights;

(b) contains confidential information belonging to another person without authorization;

(c) contains unlawful, defamatory, fraudulent, threatening, harassing, obscene, or intentionally harmful material;

(d) falsely impersonates another person or misrepresents the source of the content; or

(e) contains malicious code, viruses, or other harmful technology.

5.8 Removal or Refusal of Public Content

Raschel Biagioli reserves the right, but is not obligated, to refuse, remove, hide, moderate, or discontinue displaying public-facing Submissions that violate this Agreement, infringe another person's rights, contain inappropriate or unlawful material, or are otherwise inconsistent with the intended use of the Site or Raschel Biagioli's platforms.

5.9 No Obligation to Publish

Submission of a testimonial, review, photograph, comment, suggestion, story, or other content does not obligate Raschel Biagioli to publish, display, respond to, retain, or otherwise use the Submission.

Except where otherwise required by law or agreed in writing, Raschel Biagioli may discontinue use of public-facing content at its discretion.

6. PAYMENTS, FEES & REFUNDS

6.1 Payment for Products & Services

You agree to pay all fees and charges associated with any product, service, appointment, consultation, class, workshop, event, retreat, mentorship, program, package, travel service, or other offering purchased or booked through Edgeless Action, LLC d/b/a Raschel Biagioli.

All prices are stated in U.S. dollars unless otherwise expressly indicated.

Prices, rates, deposits, payment schedules, and available payment methods may vary depending upon the specific offering and will be disclosed through the applicable service page, booking page, invoice, proposal, registration page, written agreement, or other communication provided at the time of purchase or booking.

6.2 Payment Methods

Payment may be accepted through credit card, Zelle, check, invoice, or other payment methods approved by Raschel Biagioli.

Available payment methods may vary by service or offering.

Payment is not considered complete until the applicable funds have been successfully received or the transaction has otherwise been confirmed.

Raschel Biagioli reserves the right to require a particular payment method for certain services, projects, events, retreats, or other offerings when reasonably necessary.

6.3 Credit Card Surcharge

Where permitted by applicable law and applicable card-network rules, eligible credit-card transactions may be subject to a surcharge of up to 3% of the transaction amount.

Any applicable surcharge will be disclosed to you before the transaction is completed and will not exceed the amount permitted by applicable law, applicable card-network rules, or the applicable cost of accepting the credit card.

A credit-card surcharge will not be imposed on debit cards, prepaid cards, or other transactions for which such a surcharge is prohibited.

The amount or availability of a credit-card surcharge may be changed when necessary to remain compliant with applicable laws, payment-processor requirements, or card-network rules.

6.4 Alternative Payment Methods

When offered for a particular service, event, retreat, program, or other purchase, you may choose an available alternative payment method, such as Zelle or check, to avoid an applicable credit-card surcharge.

Alternative payment methods must be received by the payment deadline provided for the applicable offering.

Choosing Zelle, check, or another alternative payment method does not automatically reserve an appointment, project date, event registration, retreat space, or other offering until all applicable booking requirements have been completed and any required payment or deposit has been received.

6.5 Deposits

Certain services, appointments, projects, events, retreats, programs, or other offerings may require a deposit to reserve your appointment, project dates, participation, or space.

The amount of the required deposit and any offering-specific payment terms will be disclosed at or before booking.

Deposits are subject to the deposit, cancellation, rescheduling, and transfer provisions contained in this Agreement as well as any additional written terms applicable to the specific offering.

Additional deposit requirements are provided in Section 7 of this Agreement.

6.6 Payment Plans & Installments

Raschel Biagioli may, at its discretion, offer payment plans or installment arrangements for certain mentorships, retreats, programs, packages, projects, or other offerings.

Unless the written terms of the applicable offering expressly state otherwise, entering into a payment plan represents a commitment to pay the full agreed-upon purchase price, not a month-to-month subscription that may be canceled at any time.

Your decision not to attend, participate in, complete, or continue an offering does not automatically cancel remaining payment obligations.

If a payment cannot be processed or is not received by the applicable due date, Raschel Biagioli may contact you to arrange payment and may suspend access to future sessions, program materials, events, retreat participation, or other services until the account is brought current.

Any additional consequences for missed or late payments will be governed by the terms disclosed for the applicable offering and applicable law.

6.7 Failed, Declined or Returned Payments

You are responsible for ensuring that payments are completed by the applicable due date.

If a credit-card payment is declined, a check is returned, an electronic payment fails, or another payment method is unsuccessful, you remain responsible for the unpaid balance.

Raschel Biagioli may suspend or postpone services, appointments, access to programs, event participation, retreat participation, or delivery of products until outstanding amounts are paid.

You may also be responsible for reasonable returned-payment or processing charges actually incurred by Raschel Biagioli, to the extent permitted by applicable law.

6.8 Outstanding Balances

Unless otherwise agreed in writing, all amounts due for a service must be paid according to the payment schedule provided for that service.

Raschel Biagioli reserves the right to decline to schedule additional appointments, begin additional work, release certain deliverables, or permit participation in an upcoming event, program, or retreat while an account has a past-due balance.

6.9 Refunds

Payments are not automatically refundable simply because a client chooses not to use, attend, complete, or participate in a purchased service or offering.

Refund eligibility depends upon the type of offering purchased, the applicable cancellation or rescheduling policy, the timing of the cancellation, expenses or commitments already incurred, and any offering-specific written terms provided at the time of booking or registration.

Certain payments, deposits, event registrations, retreat payments, travel expenses, digital products, completed services, or other charges may be designated as non-refundable.

Where a refund is permitted, the amount and method of the refund will be determined according to the applicable written policy and applicable law.

6.10 Credit Card Surcharges & Transaction-Related Fees

Credit-card surcharges and other transaction-related charges are separate from the underlying price of the service or offering.

To the extent permitted by applicable law and payment-network requirements, transaction-related charges that have already been incurred may be non-refundable even when some or all of the underlying purchase is otherwise eligible for a refund.

6.11 Prices & Changes

Raschel Biagioli reserves the right to change prices, rates, packages, payment options, and payment policies for future purchases at any time.

Unless otherwise expressly stated, a change in pricing will not retroactively change the agreed-upon price for a service or offering that has already been booked and paid for or is governed by an existing written agreement.

Promotional pricing, discounts, scholarships, special offers, or payment arrangements may be subject to separate terms and may not be combined unless expressly permitted.

6.12 Taxes

You are responsible for any applicable sales, use, or other taxes associated with your purchase when such taxes are required by law.

Any applicable taxes may be added to the purchase price and collected at the time of payment.

7. DEPOSITS & RESERVATION REQUIREMENTS

7.1 Standard Deposit Requirement

Unless otherwise stated in writing for a specific service or offering, a 50% non-refundable deposit is required to reserve private services, appointments, projects, or other scheduled work with Edgeless Action, LLC d/b/a Raschel Biagioli.

The deposit reserves time specifically for you and may also cover advance scheduling, preparation, planning, administrative time, materials, or other commitments made in anticipation of your appointment or project.

An appointment, project date, or service is not considered fully reserved until the required deposit has been received and any applicable booking requirements have been completed.

7.2 Non-Refundable Nature of Deposits

Unless otherwise expressly stated in writing, deposits are non-refundable.

Because your scheduled time is reserved specifically for you, a deposit will not ordinarily be refunded if you change your mind, decide not to proceed, fail to attend, or cancel the service.

However, an eligible deposit may be transferred to a rescheduled appointment when the requirements described in this Agreement are satisfied.

The ability to transfer a deposit does not make the deposit refundable.

7.3 Rescheduling With At Least 48 Hours’ Notice

For eligible private appointments and services, when you provide at least 48 hours’ notice before the scheduled start time, your deposit may be transferred to a new available appointment date rather than forfeited.

Rescheduled appointments are subject to availability.

A transferred deposit applies to the rescheduled service and does not convert into a cash refund or general account credit unless otherwise expressly approved in writing.

7.4 Cancellations or Rescheduling With Less Than 48 Hours’ Notice

If you cancel or request to reschedule an eligible private appointment with less than 48 hours’ notice, your deposit may be forfeited.

A new deposit may be required before another appointment or project date can be reserved.

Raschel Biagioli may make exceptions in cases of emergency, illness, severe weather, or other extraordinary circumstances at her discretion. The consideration of an exception in one situation does not create an obligation to make the same exception in the future.

Additional cancellation and rescheduling requirements are provided in Section 8 of this Agreement.

7.5 No-Shows

If you fail to attend a scheduled appointment or are unavailable for a scheduled in-home, virtual, or other service without providing notice, the appointment will be considered a no-show.

The deposit and any other amounts designated as non-refundable may be forfeited, and a new deposit may be required before another appointment is scheduled.

7.6 Remaining Balance

Unless another payment schedule has been agreed upon in writing, the remaining balance for a service is due according to the payment terms provided at the time of booking, on the applicable invoice, or in the service agreement.

For certain appointments or projects, the remaining balance may be due on or before the date services are provided.

For multi-day projects, mentorships, packages, retreats, or other extended offerings, a separate payment schedule may apply.

7.7 Larger & Multi-Day Projects

Professional organizing, Feng Shui, space clearing, travel-based services, multi-day projects, or other larger engagements may require a customized deposit or payment schedule.

When a different deposit amount, payment schedule, minimum booking requirement, or cancellation policy is provided in writing for a particular project, those specific terms will apply to that project.

Expenses incurred specifically for a project—including materials, supplies, travel arrangements, lodging, rentals, shipping, or other approved project expenses—may be non-refundable once purchased or committed.

7.8 Classes, Workshops & Events

Classes, workshops, ceremonies, group experiences, and other limited-capacity events may require full payment at the time of registration rather than a 50% deposit.

Registration and cancellation policies for these offerings may differ from the standard private-service deposit policy.

Any offering-specific payment, cancellation, transfer, or refund terms disclosed on the registration page, event description, invoice, or other written communication will apply to that offering.

7.9 Retreats

Retreats are subject to their own deposit requirements, payment schedules, cancellation policies, and refund or transfer provisions.

Because retreat reservations may involve advance commitments for accommodations, meals, transportation, facilitators, activities, supplies, venues, and other expenses, retreat deposits and payments may be partially or entirely non-refundable.

The specific deposit amount, payment schedule, cancellation deadlines, and refund or transfer terms for each retreat will be disclosed through the applicable retreat registration materials, invoice, agreement, or booking page.

Those retreat-specific terms will control when they differ from the standard private-service deposit provisions contained in this Section.

7.10 Travel-Based Services

Services requiring significant travel may be subject to additional deposit and cancellation requirements.

When Raschel Biagioli has incurred or committed to travel-related expenses—including airfare, lodging, rental vehicles, mileage, parking, tolls, reservations, or other transportation expenses—those costs may be non-refundable once incurred.

Additional travel-related cancellation provisions are provided elsewhere in this Agreement or in the written terms provided for the applicable service.

7.11 Credit Card Surcharges on Deposits

When an eligible deposit is paid by credit card, the transaction may be subject to the credit-card surcharge described in Section 6.

When available, you may choose an approved alternative payment method, such as Zelle or check, to avoid an applicable credit-card surcharge.

Payment by an alternative method does not change the non-refundable nature of the deposit or any other applicable cancellation or rescheduling terms.

7.12 Written Exceptions

Any exception to the standard deposit policy must be agreed to in writing by Raschel Biagioli.

A one-time exception, accommodation, credit, transfer, or refund does not modify this Agreement or establish a continuing obligation to provide the same exception in another circumstance.

8. CANCELLATIONS, RESCHEDULING & LATE ARRIVALS

8.1 Standard Cancellation & Rescheduling Policy

Raschel Biagioli understands that schedules change and unexpected circumstances arise. If you need to cancel or reschedule a private appointment or service, you are asked to provide at least 48 hours’ notice before the scheduled start time.

Unless otherwise stated in writing for a particular service or offering, cancellations and rescheduling requests are subject to the policies contained in this Section and the deposit requirements described in Section 7.

8.2 Rescheduling With At Least 48 Hours’ Notice

When at least 48 hours’ notice is provided for an eligible private appointment or service, your non-refundable deposit may be transferred to a new available appointment date.

The deposit remains non-refundable and is applied toward the rescheduled service.

Rescheduled appointments are subject to availability and are not guaranteed for a particular date or time.

If the rescheduled service has a different price, duration, location, travel requirement, or scope of work, you are responsible for any applicable difference in price.

8.3 Cancellation With At Least 48 Hours’ Notice

If you choose to cancel rather than reschedule an eligible private appointment and provide at least 48 hours’ notice, the deposit remains non-refundable.

Any amounts paid in excess of the required non-refundable deposit may be eligible for refund unless otherwise stated in the terms applicable to that service.

Credit-card surcharges, transaction-related fees, travel expenses, materials already purchased, or other non-refundable expenses may be excluded from any refund to the extent permitted by applicable law and the applicable terms of the offering.

8.4 Cancellation or Rescheduling With Less Than 48 Hours’ Notice

Cancellations or rescheduling requests received less than 48 hours before the scheduled start time are considered late cancellations.

For a late cancellation or rescheduling request, the non-refundable deposit may be forfeited and a new deposit may be required to reserve another appointment.

If the service was required to be paid in full in advance, additional offering-specific cancellation terms may apply.

8.5 No-Shows

If you fail to attend a scheduled appointment or are unavailable when Raschel Biagioli arrives for an agreed-upon in-person service without providing appropriate notice, the appointment will be considered a no-show.

For a no-show, the deposit may be forfeited and amounts paid for the reserved appointment may be non-refundable to the extent provided by the applicable booking terms and permitted by law.

A new deposit and/or payment may be required before another appointment is scheduled.

8.6 Late Arrivals

If you arrive late to an appointment, the session may still end at the originally scheduled time so that other appointments and commitments are not affected.

The full scheduled service price remains due even when the session is shortened because of your late arrival.

If your late arrival is significant enough that the service can no longer reasonably or safely be completed, the appointment may be treated as a late cancellation.

8.7 In-Home & On-Site Appointments

For professional organizing, Feng Shui, space clearing, healing services, or other services performed at your home, business, or another location, you are responsible for being available and providing reasonable access to the location at the scheduled time.

If Raschel Biagioli is unable to access the property, cannot reach you, or cannot reasonably begin the scheduled work because of circumstances within your control, the appointment may be treated as a late cancellation or no-show.

Additional charges may apply if substantial time is lost because access, parking, entry instructions, or other necessary arrangements were not provided as agreed.

8.8 Travel-Based Services

Appointments or projects requiring significant travel may be subject to a longer cancellation period than the standard 48-hour policy.

Unless otherwise agreed in writing, services requiring travel of more than 50 miles from Raschel Biagioli’s primary service area require at least 72 hours’ notice to cancel or reschedule.

If a travel-based service is canceled or rescheduled with less than 72 hours’ notice, the deposit may be forfeited and the client remains responsible for non-refundable travel expenses or other costs already incurred or committed on the client’s behalf.

These expenses may include, without limitation, airfare, lodging, mileage, rental vehicles, parking, tolls, reservations, supplies, or other approved travel-related expenses.

A new deposit and reimbursement of any additional travel expenses may be required before the service is rescheduled.

8.9 Classes, Workshops & Group Events

Classes, workshops, ceremonies, group healing experiences, and other limited-capacity events may have cancellation and transfer policies that differ from the standard private-appointment policy.

Because your registration reserves a limited space, event payments may be non-refundable after a specified date or may be transferable to another eligible participant when permitted.

The cancellation, refund, credit, and transfer terms disclosed on the applicable event page, registration page, invoice, or other written communication will govern that offering.

8.10 Retreats

The standard 48-hour cancellation and rescheduling policy does not apply to retreats.

Retreats involve advance financial commitments for accommodations, meals, facilitators, transportation, activities, supplies, venues, and other expenses and therefore have separate cancellation, refund, transfer, and payment policies.

The terms disclosed for the specific retreat at the time of registration will govern the participant’s cancellation, withdrawal, transfer, or refund eligibility.

8.11 Mentorships, Packages & Multi-Session Programs

Mentorships, packages, and multi-session programs may be subject to separate cancellation and rescheduling requirements.

Rescheduling an individual session within an ongoing program does not cancel the program or eliminate remaining payment obligations.

Unless otherwise stated in writing, the standard 48-hour rescheduling requirement applies to individual private sessions scheduled as part of a mentorship or package.

Unused sessions, early withdrawal, or failure to complete a program do not automatically entitle the participant to a refund.

8.12 Emergencies, Illness & Extraordinary Circumstances

Raschel Biagioli recognizes that genuine emergencies, sudden illness, severe weather, family emergencies, and other extraordinary circumstances may occur.

Exceptions to the standard cancellation or rescheduling policy may be considered on a case-by-case basis at Raschel Biagioli’s discretion.

Granting an exception, credit, transfer, or accommodation in one circumstance does not waive the applicable policy or create an obligation to provide the same exception in the future.

8.13 Cancellation or Rescheduling by Raschel Biagioli

On occasion, Raschel Biagioli may need to cancel, postpone, or reschedule an appointment because of illness, emergency, severe weather, unsafe travel conditions, or other circumstances.

When Raschel Biagioli cancels or reschedules a private appointment, amounts paid for that appointment will generally be transferred to the rescheduled date.

If Raschel Biagioli cancels the private service and is unable to provide a reasonable rescheduling option, amounts paid for services not provided will be refunded, excluding amounts properly attributable to services or products already delivered.

Different provisions may apply to retreats, events, collaborative offerings, or circumstances outside Raschel Biagioli’s reasonable control, as described elsewhere in this Agreement.

8.14 How to Cancel or Reschedule

Cancellation or rescheduling requests should be submitted through the applicable booking or scheduling system or by contacting Raschel Biagioli using the contact information provided with your booking.

The effective time of the cancellation or rescheduling request is the time the request is received through the applicable communication method.

Clients are responsible for ensuring that cancellation or rescheduling requests are successfully submitted.

8.15 Offering-Specific Policies

Certain services, projects, classes, retreats, events, programs, or other offerings may require different cancellation, refund, or rescheduling policies because of their cost, duration, travel requirements, limited capacity, advance preparation, or other circumstances.

When different terms are clearly disclosed in writing before purchase or registration, those offering-specific terms will control over the general provisions of this Section with respect to that offering.

9. WELLNESS, SPIRITUAL & COMPLEMENTARY SERVICES

9.1 Nature of Services

Edgeless Action, LLC d/b/a Raschel Biagioli offers a variety of wellness, spiritual, educational, intuitive, energetic, and personal-development services.

These offerings may include, without limitation, shamanic healing and clearing, energy work, space clearing, therapeutic or guided breathwork, sound healing, meditation, intuitive practices, spiritual mentorship, ceremony, Feng Shui, somatic practices, guided visualization, and related experiences.

These services are intended to support personal exploration, self-awareness, relaxation, reflection, spiritual practice, and personal growth.

9.2 Complementary Services

Wellness, spiritual, energetic, intuitive, and related services offered by Raschel Biagioli are complementary practices and are not intended to replace appropriate professional care.

Unless expressly stated otherwise, Raschel Biagioli is not acting as your physician, psychologist, psychiatrist, psychotherapist, licensed mental-health counselor, attorney, financial advisor, or other licensed healthcare or professional provider.

Participation in a service does not create a physician-patient, therapist-client, attorney-client, or other licensed professional relationship.

9.3 No Diagnosis or Treatment

Services offered by Raschel Biagioli are not intended to diagnose, treat, cure, prevent, or provide medical or psychological treatment for any disease, illness, injury, mental-health condition, or other health condition.

Statements made on the Site, during a session, in educational materials, during a class or retreat, or through other communications should not be interpreted as medical or mental-health diagnoses or treatment recommendations.

9.4 Professional Medical & Mental-Health Care

You should seek appropriate care from a qualified healthcare or mental-health professional when you have questions or concerns regarding your physical or mental health.

You should not disregard, delay, discontinue, or modify medical treatment, medication, psychological care, or other professional treatment based solely upon information, guidance, spiritual practices, intuitive information, or experiences received through Raschel Biagioli’s services.

If you believe you may be experiencing a medical or mental-health emergency, you should seek appropriate emergency assistance.

9.5 Individual Experience & Results

Experiences with breathwork, sound, energy work, shamanic practices, meditation, spiritual mentorship, intuitive practices, Feng Shui, space clearing, ceremony, or other complementary services are highly individual.

Some participants may experience relaxation, emotional release, insight, physical sensations, memories, imagery, spiritual experiences, changes in perspective, or other responses, while others may experience these practices differently or may experience little or no noticeable change.

No particular experience or result is promised or guaranteed.

9.6 Emotional & Personal Material

Certain services may invite reflection on personal experiences, relationships, beliefs, patterns, memories, emotions, or life transitions.

You understand that personal-development, spiritual, somatic, and reflective practices may sometimes bring uncomfortable emotions, memories, sensations, or thoughts into awareness.

You remain in control of your participation and may ask to pause, modify, or discontinue a practice at any time.

9.7 Voluntary Participation

Participation in all wellness, spiritual, energetic, intuitive, and personal-development practices is voluntary.

You are encouraged to communicate questions, concerns, physical limitations, emotional discomfort, or other relevant information before or during a session.

You may decline any particular exercise, practice, technique, touch, movement, breath pattern, sound experience, meditation, or other activity with which you are uncomfortable.

9.8 No Guarantee of Outcome

Raschel Biagioli does not guarantee any particular physical, emotional, spiritual, energetic, relationship, business, financial, organizational, or personal outcome from participation in any service or offering.

References to healing, clearing, release, transformation, alignment, grounding, energy, intuition, manifestation, spiritual connection, or similar concepts describe the intention, framework, or experience of the services and should not be interpreted as guarantees of a particular outcome.

10. BREATHWORK, SOUND, MOVEMENT & PHYSICAL PARTICIPATION

10.1 Nature of Participation

Certain services, classes, workshops, events, and retreats may include breathwork, guided breathing practices, meditation, movement, stretching, walking, hiking, sound healing, use of musical instruments, somatic practices, outdoor activities, or other forms of physical or experiential participation.

Participation in these activities is voluntary.

10.2 Personal Responsibility

You are responsible for determining whether you are physically and emotionally able to participate in an activity.

You agree to use reasonable judgment regarding your own abilities, limitations, and comfort and to communicate relevant concerns when appropriate.

You should stop, rest, modify, or decline participation if you experience significant discomfort, dizziness, pain, shortness of breath beyond what you reasonably expect from the activity, emotional distress, or any other response that causes you concern.

10.3 Health Considerations

Certain breathwork, movement, physical activities, or other experiential practices may not be appropriate for every individual.

If you are pregnant, have an existing medical or mental-health condition, have recently experienced an injury or surgery, take medication that may affect your participation, or otherwise have concerns about whether an activity is appropriate for you, you are encouraged to consult an appropriately qualified healthcare professional before participating.

Information provided by Raschel Biagioli regarding participation considerations is educational in nature and is not a substitute for individualized medical advice.

10.4 Breathwork

Breathwork practices can vary in intensity and may produce physical, emotional, or subjective experiences.

You understand that participation in breathwork is voluntary and that you may return to your normal breathing pattern, reduce the intensity of the practice, rest, or discontinue participation at any time.

No participant is required to continue a breathing practice that feels inappropriate or unsafe for them.

10.5 Sound Healing

Sound-healing experiences may involve singing bowls, drums, rattles, chimes, music, voice, vibration, or other sound-producing instruments or techniques.

Individual responses to sound and vibration vary.

You are encouraged to notify Raschel Biagioli if you have sound sensitivity, hearing concerns, sensory sensitivities, or another condition that may affect your comfort during a sound-based experience.

10.6 Outdoor & Retreat Activities

Retreats, events, or other experiences may include hiking, walking, outdoor ceremonies, uneven terrain, stairs, swimming or water-related activities, fire ceremonies, transportation, weather exposure, or other recreational activities.

You are responsible for deciding whether to participate based upon your abilities, health, experience, comfort level, and the conditions present at the time.

You agree to follow reasonable safety instructions provided by Raschel Biagioli, a venue, guide, facilitator, or other applicable service provider.

10.7 Assumption of Ordinary & Inherent Risk

You understand that physical, outdoor, breathwork, movement, travel, retreat, and experiential activities may involve ordinary and inherent risks that cannot be completely eliminated.

By voluntarily choosing to participate, you acknowledge and accept the ordinary and inherent risks associated with the activities in which you elect to participate, to the extent permitted by applicable law.

Nothing in this Agreement is intended to release or waive liability that cannot legally be released or waived.

11. INTUITIVE READINGS, SPIRITUAL GUIDANCE & MENTORSHIP

11.1 Nature of Intuitive Services

Intuitive readings, card readings, crystal-based practices, spiritual guidance, shamanic journeying, mentorship, and other intuitive or spiritual services are offered for personal reflection, exploration, education, spiritual development, and insight.

Information received or discussed during these services may be symbolic, intuitive, spiritual, reflective, or interpretive in nature.

11.2 Personal Decision-Making

You remain solely responsible for your own decisions, choices, actions, relationships, finances, health, career, business, and other areas of your life.

Intuitive or spiritual guidance should be considered as one source of reflection rather than as a command, guarantee, prediction, or replacement for your own judgment.

You are encouraged to evaluate information received during a session in light of your own circumstances, values, judgment, and any appropriate professional advice.

11.3 No Professional Advice

Intuitive readings, spiritual guidance, mentorship, card readings, crystal practices, or similar services do not constitute medical, psychological, legal, financial, investment, tax, or other licensed professional advice.

When your circumstances require professional advice, you should consult an appropriately qualified professional.

11.4 Future Events & Predictions

Any discussion of future possibilities, potential outcomes, timing, relationships, opportunities, or other future events is inherently uncertain.

Raschel Biagioli does not guarantee that any prediction, intuitive impression, card interpretation, spiritual message, vision, energetic observation, or other information concerning future events will occur.

Circumstances, choices, relationships, opportunities, and other factors may change.

11.5 Spiritual Mentorship

Spiritual mentorship is an educational and personal-development relationship intended to provide ongoing support, exploration, practices, reflection, and guidance.

Mentorship is not psychotherapy, counseling, medical treatment, or another licensed healthcare service.

Mentorship may include discussion of spiritual practices, intuition, boundaries, meditation, shamanic practices, energy work, ceremony, personal development, or other topics relevant to the participant’s goals.

11.6 Client Autonomy

Raschel Biagioli encourages clients to develop trust in their own discernment and decision-making.

You are never required to act upon an intuitive message, spiritual interpretation, suggested ritual, Feng Shui recommendation, energetic observation, or mentorship suggestion.

You retain the right and responsibility to determine what is appropriate for you.

11.7 Recordings

Certain intuitive readings, mentorship sessions, meditations, or other private sessions may be audio recorded when this is part of the service or has been agreed upon.

Recordings provided to you are intended for your personal use and reflection unless otherwise expressly agreed in writing.

Recordings may not be sold, commercially distributed, published, reproduced for commercial purposes, or represented as your own original material without prior written permission.

Raschel Biagioli is not responsible for recordings after they have been delivered to you, including loss, deletion, unauthorized access, or sharing that occurs through your own device, account, storage system, or actions.

12. PROFESSIONAL ORGANIZING, FENG SHUI & IN-HOME SERVICES

12.1 Nature of Services

Professional organizing, Feng Shui, space clearing, and other in-home or on-site services are intended to help clients improve organization, functionality, flow, use, experience, or energetic relationship with their spaces.

The scope of work will vary based upon the service selected, the condition of the space, the client’s goals, available time, and other circumstances.

12.2 Client Decisions Regarding Property

The client retains final responsibility for decisions concerning their belongings and property.

Unless otherwise expressly agreed, Raschel Biagioli will not intentionally discard, donate, sell, remove, or permanently dispose of a client’s property without the client’s authorization.

Clients are responsible for deciding which belongings to keep, donate, sell, recycle, relocate, discard, or otherwise remove.

12.3 Value of Property

Raschel Biagioli is not an appraiser and does not determine or guarantee the monetary, historical, collectible, sentimental, legal, tax, or replacement value of personal property.

If you believe an item may have significant value, you are responsible for consulting an appropriately qualified appraiser or other professional before selling, donating, discarding, or otherwise disposing of the item.

12.4 Valuable, Sensitive & Irreplaceable Items

Before an organizing or in-home session, clients are encouraged to secure cash, jewelry, medications, financial documents, identification documents, legal documents, firearms, hazardous materials, collectibles, family heirlooms, irreplaceable items, confidential records, and other valuable or sensitive property.

Raschel Biagioli should be informed when an area contains items requiring special handling or precautions.

12.5 Donations & Discarded Property

Once a client authorizes property to be donated, recycled, discarded, transferred, or otherwise removed, recovery of that property may not be possible.

The client is responsible for reviewing items before final removal and confirming that they are comfortable with the disposition decision.

When Raschel Biagioli assists with transporting authorized donations or discarded items as part of a service, she will make reasonable efforts to follow the client’s instructions but cannot guarantee that an item can be recovered after delivery or disposal.

12.6 Sale of Property

If a client chooses to sell belongings, Raschel Biagioli does not guarantee that an item will sell, the amount it will sell for, the length of time required to sell it, or the reliability or conduct of a third-party purchaser or marketplace.

Unless separately agreed in writing, responsibility for sales transactions remains with the client.

12.7 Safe Working Conditions

Clients are responsible for providing a reasonably safe environment in which services can be performed.

You agree to disclose known conditions that could reasonably affect safety, including structural hazards, pest or insect infestations, mold, biohazards, hazardous substances, aggressive animals, unsafe access conditions, or other significant hazards.

Raschel Biagioli reserves the right to decline, pause, or discontinue work when conditions are reasonably believed to be unsafe, unsanitary, unlawful, or materially different from what was disclosed before the appointment.

12.8 Pets, Children & Other Individuals

Clients are responsible for ensuring that pets, children, household members, employees, contractors, or other individuals present during a service do not create unsafe working conditions or materially interfere with the ability to perform the agreed-upon work.

Raschel Biagioli may request that pets be secured or that other reasonable accommodations be made when necessary for safety or effective completion of the service.

12.9 Furniture, Storage & Physical Changes

Organizing or Feng Shui recommendations may include suggestions regarding furniture placement, storage systems, décor, artwork, color, household items, or other changes to a space.

The client is responsible for deciding whether to implement those recommendations and for obtaining qualified assistance when a recommendation involves electrical work, plumbing, construction, structural modification, installation, mounting, repair, or another service requiring specialized skill or licensing.

12.10 Feng Shui

Feng Shui services are provided as an environmental, energetic, spiritual, and personal-development practice.

Recommendations may involve placement, symbolism, color, intention, objects, environmental changes, rituals, or other traditional or contemporary Feng Shui practices.

Feng Shui recommendations do not guarantee financial gain, business success, improved relationships, health outcomes, fertility, property value, or any other specific result.

12.11 Space & Energy Clearing

Space and energy clearing is a complementary spiritual and energetic practice.

References to clearing, stagnant energy, energetic residue, attachments, balancing, protection, intention, or similar concepts describe the framework and intention of the service and are not representations of scientifically or medically established conditions or guarantees of a particular result.

12.12 Third-Party Professionals

Raschel Biagioli may recommend contractors, movers, cleaners, donation centers, junk-removal providers, appraisers, designers, storage providers, tradespeople, or other third-party resources when appropriate.

Unless expressly stated otherwise, these providers are independent third parties, and clients are responsible for evaluating, hiring, paying, and entering into agreements with them.

The third-party provisions contained in Section 3 also apply to these recommendations.

13. CLIENT RESPONSIBILITY, CONDUCT & RIGHT TO DISCONTINUE SERVICES

13.1 Client Responsibility

You are responsible for your own decisions, actions, participation, health, wellbeing, property, belongings, travel arrangements, and implementation of recommendations provided through Raschel Biagioli’s services.

You agree to use reasonable judgment when participating in services and to seek appropriate professional assistance when a matter falls outside the scope of the services provided by Raschel Biagioli.

13.2 Accurate & Relevant Information

You agree to provide information that is accurate and complete to the best of your knowledge when such information is reasonably relevant to the service being provided.

For activities involving physical participation, travel, breathwork, movement, outdoor activity, or other potentially strenuous experiences, you are responsible for considering whether there are circumstances that may affect your ability to safely participate.

13.3 Respectful Conduct

Clients and participants are expected to interact respectfully with Raschel Biagioli, other participants, collaborators, venue staff, contractors, and third-party providers.

Harassment, threats, intimidation, discrimination, violence, unwanted sexual conduct, intentionally disruptive behavior, unlawful activity, or conduct that reasonably creates an unsafe or hostile environment will not be tolerated.

13.4 Boundaries

Professional, personal, energetic, physical, and communication boundaries established in connection with services must be respected.

Raschel Biagioli reserves the right to establish reasonable boundaries regarding communication methods, communication frequency, availability outside scheduled sessions, physical contact, use of personal information, access to private spaces, and other aspects of the professional relationship.

Access to Raschel Biagioli outside scheduled appointments is not implied unless expressly included in the service or program purchased.

13.5 Right to Decline or Discontinue Services

Raschel Biagioli reserves the right to decline, pause, discontinue, or terminate a service, appointment, program, mentorship, event participation, retreat participation, or other professional relationship when reasonably necessary.

Reasons may include, without limitation:

(a) unsafe, threatening, harassing, abusive, discriminatory, or inappropriate conduct;

(b) repeated violation of established boundaries or policies;

(c) nonpayment or repeated failure to comply with agreed payment arrangements;

(d) unsafe or undisclosed conditions at a home, business, event, or other service location;

(e) conduct that materially interferes with a group experience, retreat, class, or event;

(f) material misrepresentation or withholding of information reasonably necessary to provide the service;

(g) requests for services outside Raschel Biagioli’s scope of practice, qualifications, comfort, or professional boundaries;

(h) circumstances in which continuing the service would reasonably create a safety, ethical, legal, or professional concern; or

(i) a determination that the service is no longer an appropriate fit.

13.6 Immediate Termination for Safety

If Raschel Biagioli reasonably believes that a situation presents an immediate threat to her safety or the safety of another person, she may leave the location, stop the session or activity, contact appropriate assistance, and terminate services without completing the scheduled appointment.

Nothing in this Agreement requires Raschel Biagioli to remain in a location or situation that she reasonably believes is unsafe.

13.7 Payment Following Termination

If services are discontinued because of client misconduct, unsafe conditions, material policy violations, nonpayment, or another circumstance attributable to the client, amounts already paid may remain non-refundable to the extent permitted by applicable law and the applicable terms of the offering.

The client remains responsible for payment for services already performed, approved expenses already incurred, non-refundable travel expenses, materials purchased for the client, and other amounts properly earned or committed before termination.

If Raschel Biagioli elects to discontinue a service for reasons unrelated to client conduct and services have been paid for but not provided, any refund, transfer, or credit will be determined based upon the circumstances, the portion of services already provided, applicable offering-specific terms, and applicable law.

13.8 No Obligation to Accept Future Bookings

Completion of a previous service or acceptance of a previous booking does not obligate Raschel Biagioli to accept future appointments, projects, registrations, mentorships, or other engagements.

Raschel Biagioli reserves the right to determine which services, projects, and professional relationships she is able and willing to accept.

13.9 Personal Choice & Autonomy

All recommendations, practices, exercises, rituals, organizing suggestions, Feng Shui adjustments, intuitive guidance, spiritual practices, and other suggestions offered through Raschel Biagioli’s services are subject to your own judgment and choice.

You retain the right to ask questions, decline a recommendation, modify your participation, seek another opinion, or discontinue participation.

You are ultimately responsible for determining what actions are appropriate for your individual circumstances.

15.3 Personal Property

Except to the extent caused by conduct for which liability cannot lawfully be limited, Raschel Biagioli is not responsible for the loss of or damage to property resulting from a client’s decision to discard, donate, sell, relocate, transfer, or otherwise dispose of property.

Clients remain responsible for identifying valuable, sentimental, confidential, irreplaceable, or otherwise sensitive items before removal or disposition.

15.5 Maximum Liability

To the fullest extent permitted by applicable law, if Edgeless Action, LLC is found liable for a claim arising from a particular purchased service or offering, its aggregate liability for that claim will not exceed the amount actually paid by the claimant to Edgeless Action, LLC for the specific service or offering giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited or excluded.

15.6 Non-Waivable Rights

Nothing in this Agreement is intended to exclude, waive, or limit liability for gross negligence, willful misconduct, fraud, or any other liability that cannot legally be excluded, waived, or limited under applicable law.

16. INDEMNIFICATION

16.1 Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Edgeless Action, LLC d/b/a Raschel Biagioli and its owner, employees, contractors, agents, representatives, facilitators, successors, and assigns from and against third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:

(a) your unlawful or unauthorized use of the Site;

(b) your material violation of this Agreement;

(c) content you submit or publish in violation of another person’s intellectual-property, privacy, publicity, contractual, or other legal rights;

(d) your unlawful or intentionally wrongful conduct in connection with an offering; or

(e) your material violation of the rules or policies of a venue, retreat property, event location, or third-party provider where such violation results in a claim against Edgeless Action, LLC.

16.2 Scope

This indemnification provision is not intended to require you to indemnify Edgeless Action, LLC for its own negligence, gross negligence, willful misconduct, or other conduct for which indemnification cannot lawfully be required.

The obligations contained in this Section survive termination of your use of the Site or completion of the applicable offering to the extent permitted by law.

17. INTELLECTUAL PROPERTY

17.4 Recordings

The Raschel Biagioli name, Edgeless Action name, logos, service names, program names, retreat names, taglines, graphics, and other distinctive branding may constitute trademarks, service marks, copyrighted materials, or other protected intellectual property.

Nothing in this Agreement grants permission to use such branding in a manner that suggests affiliation, endorsement, partnership, or authorization where none exists.

Materials belonging to third parties remain the property of their respective owners.

Nothing in this Agreement grants you rights to use third-party intellectual property beyond the rights expressly provided by the applicable owner.

18. FORCE MAJEURE & CIRCUMSTANCES BEYOND REASONABLE CONTROL

18.1 Events Beyond Reasonable Control

Edgeless Action, LLC will not be considered in breach of this Agreement for a delay, interruption, modification, relocation, postponement, or inability to perform caused by circumstances reasonably outside its control.

Such circumstances may include, without limitation, severe weather, natural disasters, fire, flood, illness, injury, family emergency, death, government action, public-health emergency, epidemic or pandemic, civil disturbance, labor disruption, utility failure, internet or technology failure, transportation interruption, airline cancellation, road closure, venue closure, supplier failure, or other similar events outside reasonable control.

Payments may be transferred to a rescheduled date when appropriate.

18.3 Events & Retreats

Events and retreats involve multiple participants, vendors, venues, accommodations, travel arrangements, and other commitments.

If circumstances beyond reasonable control require an event or retreat to be modified, relocated, rescheduled, postponed, or canceled, Raschel Biagioli will make reasonable efforts to provide participants with available options.

Refunds, credits, transfers, or rescheduling options will be determined based upon the circumstances, amounts recoverable from third-party providers, non-refundable expenses already incurred or committed, offering-specific terms, and applicable law.

18.4 Program Modifications

When reasonably necessary because of weather, safety, participant wellbeing, facilitator availability, venue requirements, transportation conditions, or other circumstances, Raschel Biagioli may modify an itinerary, activity, schedule, facilitator, location, meal, excursion, ceremony, class, or other component of an event or retreat.

Reasonable substitutions or modifications do not automatically entitle a participant to a refund.

Edgeless Action, LLC reserves the right to modify, update, discontinue, add, or remove Site content, services, products, classes, programs, events, retreats, pricing, availability, policies, or other offerings at any time.

Unless otherwise required by applicable law, revisions become effective when posted and apply prospectively.

19.3 Existing Agreements

Changes to the general Terms of Service will not retroactively alter the material financial terms of a separately executed written agreement unless permitted by that agreement or mutually agreed upon.

Offering-specific agreements, retreat terms, payment agreements, waivers, or other written agreements remain subject to their own provisions.

Each party consents to the jurisdiction of such courts to the extent permitted by law.

20.3 Good-Faith Resolution

Before initiating formal legal proceedings, the parties are encouraged, when reasonable under the circumstances, to make a good-faith effort to communicate regarding the dispute and attempt to reach a mutually acceptable resolution.

Nothing in this provision prevents either party from seeking immediate legal relief when reasonably necessary to protect legal rights, safety, confidential information, or intellectual property.

20.4 Severability

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will continue in full force and effect.

20.5 No Waiver

Failure by Edgeless Action, LLC to enforce a provision of this Agreement on one occasion does not constitute a waiver of that provision or the right to enforce it in the future.
